Terms & Conditions

These Terms and Conditions (“Terms”) govern the corporate training, workshops and related educational services (“Services”) provided by Generative Intelligence, an Ontario, Canada-based business owned and operated by Gaia Orion (“we,” “us,” or “our”). By purchasing Services, the purchasing organization or adult individual (“Client”) agrees to these Terms.

Generative Intelligence provides training designed to develop creative thinking, innovation and generative intelligence capabilities. The scope, format, date, duration and fees of each engagement will be described in the applicable proposal, quotation, invoice or written confirmation.

“Training Materials” includes presentations, exercises, worksheets, frameworks and other resources supplied in connection with Services.

3.1 Full payment of the applicable fee must be received and cleared before a training date and time are reserved. An inquiry, proposed date, quotation or unpaid invoice does not hold or confirm a date. Availability is subject to change until full payment is received.

3.2 Fees are payable in the currency stated on the quotation or invoice. Applicable Canadian taxes, where required by law, will be added or identified on the invoice.

3.3 The Client is responsible for all fees and charges associated with its payment, including international bank transfer fees, intermediary bank charges, payment provider fees and currency conversion costs. Generative Intelligence must receive the full invoiced amount, net of any such charges, before the reservation is confirmed.

3.4 No installment plan, deposit or late-payment interest applies under these Terms. If full payment is not received, the booking is not confirmed.

The Client will provide reasonable cooperation and relevant logistical information for the training, ensure participants are adults aged 18 or older, and communicate session details to participants. Training Materials may not be shared, copied, recorded, republished or distributed without prior written consent, except as expressly permitted in writing.

Unless otherwise agreed in writing, all intellectual property in Training Materials, frameworks and methodologies remains the property of Generative Intelligence or its licensors. Upon payment, the Client receives a limited, non-exclusive, non-transferable right to use materials provided for its own internal educational and business purposes. No ownership rights transfer to the Client.

Client cancellation or rescheduling requests must be submitted in writing. If received at least 30 calendar days before the scheduled training, the Client may apply 100% of the fee paid as credit toward another Generative Intelligence training or program. If received fewer than 30 calendar days before the scheduled training, 50% of the fee paid may be applied as credit; the other 50% is not credited. Client-initiated cancellations and changes are non-refundable. No credit is available for a no-show without a written request received before the scheduled start time. Replacement bookings are subject to availability and written confirmation.

If Generative Intelligence must cancel a training or cannot deliver it as scheduled, we will offer a mutually agreeable replacement date or a full refund of the training fee received for the undelivered session.

To the fullest extent permitted by applicable law, Generative Intelligence will not be liable for indirect, incidental, special or consequential damages arising from the Services. Our aggregate liability for a claim relating to a particular training will not exceed the amount paid for that training. Nothing in these Terms excludes liability that cannot lawfully be excluded.

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario. Subject to mandatory applicable law, disputes will be submitted to the courts of Ontario.

We may update these Terms for future bookings. The version provided or made available when a booking is confirmed will apply unless the parties agree otherwise in writing.
